RECOMMENDATION
Staff recommends the Cultural Affairs Commission (CAC) consider information and comments provided during discussion of this item and forward comments and/or a recommendation to the City Council.
BACKGROUND/DISCUSSION
At the May 17, 2016 regular CAC meeting, Mayor Clarke addressed the CAC about the need to evaluate the structure of the Cultural Affairs Foundation (CAF) and whether the CAF could better fulfill its mission if operating as a separate entity from the City, similar to that of the Culver City Education Foundation. The CAC agreed by majority consensus to bring this item back at a future date for further discussion.
Pursuant to a memorandum dated July 9, 2016 from Mayor Clarke to the City Manager, at its meeting on July 11, 2016, the Council agreed to have an item placed on a future agenda pertaining to the potential reorganization of the Culver City Cultural Affairs Foundation. Currently this item is scheduled for Council consideration in October so as to allow sufficient time for both the CAC and CAF Board (whose next regular meeting is scheduled for September 21, 2016) to discuss the item and forward comments and/or a recommendation.
Attached for reference are copies of the CAF’s Articles of Incorporation and the Amended Bylaws. In discussing this item, at a minimum, the following should be considered:
• Creating revised bylaws
• What, if any, would be required by the IRS and the California Secretary of State?
• Who will complete the research and work necessary to make the changes?
• How would a foundation separate from the City be staffed? If the staff is to be paid, where would the funds come from?
CAF Board members Celeste Anlauf, Robert (Bob) Cicchini and Ashley Rodgers were notified about this item being included on the August CAC agenda and invited to participate in person or via written comment. The CAC has the option of continuing the item at its next regular meeting on September 20, 2016 should that be required. The CAF Board will meet again on September 21, 2016 and will have an opportunity to provide comment at that time as well.
FISCAL ANALYSIS
At this juncture, there is no fiscal impact associated with this item.
