RECOMMENDATION
Staff recommends the City Council approve a Second Amendment to the existing Professional Services Agreement with KOA Corporation for Design and Construction Management Services for the Hayden Tract Spur Parking Lot Project (Project) to increase the Schedule of Compensation by $10,000 to pay the cost for required material testing services related to the Project.
BACKGROUND/DISCUSSION
On January 31, 2012, the City of Culver City (City) entered into a Professional Services Agreement with KOA Corporation (KOA) for Design and Construction Management Services for the Project. On April 30, 2012, the City Council approved an Amendment to the Agreement (collectively, the Agreement) to increase the Schedule of Compensation by $8,645 to pay the cost for additional environmental studies. Staff now recommends the City Council approve a Second Amendment increasing the Schedule of Compensation by $10,000 to pay the cost of third party materials testing for the Project.
The Project, a partnership between the City and the Hayden Tract Owners Association (Owners) improves the abandoned former MTA railroad spur running parallel to and north of Warner Drive between Hayden Avenue and Eastham Drive into a lighted and landscaped 110-space parking lot. Pursuant to the Owner Participation Agreement between the City and the Owners, the City and the Owners are to equally share the construction costs, and the City is to pay design and soft costs, including materials testing. Pursuant to the Agreement, KOA, as Construction Manager, is responsible for selecting and managing the third party performing the materials testing. It is therefore appropriate to have KOA subcontract the service and be remunerated by the City for the cost of service. It is anticipated the service will cost $10,000 or more, but KOA has agreed to invoice the City for an amount not greater than $10,000 and to assume responsibility for any cost above that amount. If the materials testing cost is less than $10,000, KOA will invoice the City for an amount not to exceed the actual charges by the third party performing the materials testing services.
FISCAL ANALYSIS
The City is funding its portion of the Project with pre-2011 tax-exempt bond proceeds. Sufficient funds have been included in the Economic Development Budget for Fiscal Year 2016-2017 to meet this expenditure.

MOTION
That the City Council:
1. Approve a Second Amendment to the existing professional services agreement with KOA Corporation for Design and Construction Management Services for the Hayden Tract Spur Parking Lot Project (Project) to increase the Schedule of Compensation by an additional amount not-to-exceed $10,000 to pay the cost for required material testing services related to the Project.; and,
2. Authorize the City Attorney to review/prepare the necessary documents; and,
3. Authorize the City Manager to execute such documents on behalf of the City.
