BACKGROUND/DISCUSSION
At the January 20, 2022 meeting of the Bicycle and Pedestrian Advisory Committee (BPAC), a temporary ad-hoc subcommittee was formed to develop draft bylaws for the Committee. Members Michelle Weiner, Art Nomura, and Robyn Tenensap were appointed to the subcommittee to begin the process.
A first draft of the bylaws was developed by the subcommittee, with staff support, and submitted to the City Attorney and the City Clerk for input and editorial review. A new second draft was then developed by staff incorporating the recommendations and requirements of the City Attorney and the City Clerk.
The second draft of the bylaws was presented to BPAC for initial review and discussion at the February 16, 2023 meeting. Discussion and approval continued at the April 20, 2023 meeting. Further discussion and approval was agendized for the May 9, 2023 meeting, but that meeting was cancelled due to lack of quorum. At the June 15, 2023 regular meeting, BPAC members discussed the second draft of the bylaws further and came to consensus on various issues. The Committee then voted to approve the language in the second draft with several changes. Staff incorporated the Committee’s changes, made some non-substantive adjustments to the text, and again submitted the document to the City Attorney and the City Clerk for final approval. Staff then made final changes requested by the City Attorney and City Clerk.
The final draft, Draft 3, is attached to this report for BPAC review and approval. If approved, with or without any further changes, the bylaws will then be submitted to City Council for approval. Also attached is a conversion chart showing the suggested re-designation of Members from current seats to the new seats described in Bylaws. Committee members should consider new seat designations and approve with or without changes.

MOTION
1. Approve the Bicycle and Pedestrian Advisory Committee (BPAC) Bylaws Draft 3 Bylaws (with or without changes) and submit to City Council for approval.
2. Approve the conversion of seat designation as described in the BPAC Seat Conversion Chart (with or without changes) and submit to City Council for approval.
