RECOMMENDATION:
That the City Council adopt Resolution 2005-R___, re-affirming Mayor Albert Vera
as Member and appointing Martin R. Cole, Assistant Chief Administrative Officer, as
Alternate to the Independent Cities Risk Management Authority (ICRMA) Governing
Board and rescinding Resolution 2005-R072.
BACKGROUND:
The Independent Cities Risk Management Authority (ICRMA) is a Joint Powers
Authority which provides risk management programs for liability, workers’
compensation, and property and earthquake coverage for its 29 member cities. The
City of Culver City has been a member of the ICRMA since May 20, 1986.
The ICRMA Bylaws require an elected official be appointed by resolution as the
Member of the Governing Board of the ICRMA (Attachment 1). An Alternate and
substitute Alternate, who may be staff members, may also be appointed by
resolution to act in the primary Member's absence. Governing Board Meetings
occur every other month during business hours (10am to 12pm).
Representation at Board and committee meetings is essential for Culver City to
provide input into the structure and direction of ICRMA programs. In addition, the
ICRMA offers various services to assist member cities with mitigating risk, including
free risk management training sessions and grant money for safety training
programs. Attendance at Board meetings is necessary in order to take full
advantage of ICRMA’s services.

For example, eligibility for the ICRMA Grant Fund Program is predicated on member
cities having a voting member present to at least 66.75% of Governing Board
meetings during the fiscal year. In the past, the City has used these grant funds to
conduct an inventory of the City’s chemicals and receive training on Material Safety
Data Sheet (MSDS) regulations, purchase a slips/trips/falls training program, and
help fund a citywide Diversity Training workshop.
DISCUSSION:
At the Council meeting on November 7, 2005, the City Council approved a resolution
reaffirming Mayor Vera as the Governing Board Member and Councilmember Corlin
as the Alternate Member; and appointing Jerry Fulwood, CAO, to replace former
Assistant CAO Deborah Fancett as the substitute Alternate Member.
Subsequent to the November 7
th
meeting, the City hired Mr. Cole to fill the vacant
Assistant CAO position. Since Mr. Cole has previous Risk Management experience
and serves as the CAO’s duly appointed representative, Chief Administrative Officer
Jerry Fulwood suggested that Mr. Cole take his place as Alternate to the ICRMA
Governing Board. Mayor Vera and Councilmember Corlin have been consulted
about the proposed change in Governing Board appointees and have assented to
the City Council’s consideration of this request.
In order to help ensure that Culver City has representation at all Board meetings,
staff requests that the Council appoint Assistant CAO Martin R. Cole to serve as an
Alternate for the remainder of the 2005/06 term. In this capacity, Mr. Cole would
attend meetings that Mayor Vera’s schedule does not permit him to attend.
FISCAL ANALYSIS:
There is no fiscal impact.

Section 4 2 - Approval of Membership
The General Manager shall review each applicant s submittal and may schedule and coordinate a
safety inspection of the applicant s facilities The General Manager shall report the results of the
review of the submittal and the inspection which shall be the basis for the recommendation to the
Governing Board The Governing Board shall either approve, as provided in section 5 1 3 1, or
disapprove the application based upon the General Manager s recommendation, the application,
and any inspections, reports, or other material which would be pertinent to the decision
ARTICLE 5- GOVERNING BOARD
Section 5 1 - Governing Board
5 1 1 The Governing Board of the Authority shall be comprised of one representative from
each member In addition to the designated representative, who shall be a legislative
member, an alternate and substitute alternate may be appointed either of whom may vote
in the absence of the designated representative If the member chooses to designate an
alternate or substitute alternate, other than a legislative member the person(s) designated
shall generally be one of the followmg positions, or their equivalent, City Attorney,
Assistant City Attorney, Financial Officer, City Administrator/Manager,
Assistant/Deputy City Administrator/Manager, Assistant to City Manager, Risk Manager,
Human Resources Director/Manager, or Administrative Services Director
5 1 1 1 Each designated representative, alternate, or substitute alternate, when voting on
Authority business, shall have the authority to bind his or her member to the
action taken by the Governing Board
5 1 1 2 The member may change any of its representatives (Designate, Alternate, or
Substitute-alternate) to the Governing Board by filing a resolution with the
Authority, which indicates the representative s designation and authority to bind
the member to the actions taken by the Governing Board
5 1 1 3 At a Governing Board meeting only one designated representative, if more than
one representative is present, may vote
5 1 2 The Governing Board shall provide policy direction for the Administrative Committee,
and the General Manager, and other appointed committees The Governing Board may

Secretary shall be responsible for minutes of the meetings, and submission of copies of
such minutes to the designated representatives, alternate representatives, and substitute

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
CULVER CITY, CALIFORNIA, APPOINTING SPECIFIC
REPRESENTATIVES TO THE INDEPENDENT CITIES RISK
MANAGEMENT AUTHORITY AND RESCINDING RESOLUTION
NO 2005-R072
WHEREAS, the City of Culver City is a member of the Independent Cities
Risk Management Authority, and
WHEREAS, the Amendment to Joint Exercise of Powers Agreement for
Insurance and Risk Management Purposes dated May 13 1987 and the Risk Management
Committee By-Laws require an elected official be appointed by resolution to the Governing
Board and an alternate (the alternate may be a staff member) be appointed by resolution to
act in the primary member's absence
NOW THEREFORE the City Council of the City of Culver City DOES HERBY
RESOLVE as follows|109| The City of Culver City appoints the Honorable Albert Vera to serve on
the Governing Board of the Independent Cities Risk Management Authority, and|109| The City of Culver City appoints Martin R Cole, Assistant Chief
Administrative Officer, to serve on the Governing Board of the Independent Cities Risk
Management Authority in the absence of the primary member as noted in Section 1 above,
and|109| The individuals previously designated by this Council as the City's
representative and alternate to the ICRMA Governing Board for all purposes of
representing the City's interests and exercising the authority of the City with respect to the
coverage and the program and voting on behalf of the City on all matters delegated to the

Governing Board and signing such amendments as are contemplated to be approved by
the Governing Board under the Liability Risk Coverage Agreement and the Trust
Agreement, and such individuals shall keep this Council informed of such matters on a
