RECOMMENDATION:
Staff recommends the City Council approve a professional services agreement with
Utility Systems, Science and Software (US3) with a term of one (1) year, with four
(4) one-year extensions upon approval by the City Manager for the maintenance of
the Emergency Notification System and the Sewer Flow Monitoring System.
BACKGROUND:
There are two technology systems serving the City’s 86 miles of sewers and 7 pump
stations. The two systems are the sewer flow management system (SFMS) and the
sewer emergency notification system (ENS).
Sewer Flow Management System (SFMS)
The City of Culver City owns its sewer system and conveys about 4 million gallons of
effluent per day to the City of Los Angeles’ sewer transmission lines for treatment at
the Hyperion Sewage Treatment Plant. This is done under an Amalgamated System
Sewerage Agreement (ASSA) that was approved by the City Council in 1999. The
ASSA requires that the City of Los Angeles treat and dispose of Culver City’s
wastewater. The ASSA also requires Culver City to report sewer flow data at
monthly, quarterly, and annual increments and to pay for the sewage conveyance
and treatment to the City of Los Angeles. The purpose of the flow data is to
determine the City’s fair share of operational and capital costs at the Hyperion Plant
and the maintenance of the City of Los Angeles’ sewer transmission lines. There
are financial penalties to the City if sewer data reported is incomplete. Culver City’s
SFMS was installed in the year 2000.

The SFMS consists of sewer flow meters, sensors, data loggers, and related
equipment. Several sewer flow meters are integrated through a wireless
communications network. The wireless network architecture provides for remote
meter reading and sewer flow data communications based on TCP/IP and other
industry standard protocols using the City’s trunked radio system.
The Sewer Emergency Notification System (ENS)
The ENS system utilizes Motorola Supervisory Control and Data Acquisition
(MOSCAD) for communication over the City’s trunked radio system, and integrates
the City’s seven sewer pump stations into an intelligent technology network that
assesses mission-critical components and functions at the seven pump stations and
reports malfunctions in their operation as alarms to City staff. The ENS reports
alarm incidents from the pump stations wirelessly to a central unit located in the
basement of the Police Department, from which they are relayed through fiber optic
lines to City Hall and then converted to copper communications delivered to the
ENS’s network and server. The server and assistant hardware then delivers text
messages (SMS) to cell phones, e-mails to staff computers, and makes voice phone
calls to a tree list of responsible first-responding members of City staff. The ENS is
a mission-critical component of the City’s Spill Prevention Program.
The ENS system employs Trihedral Engineering’s Virtual Tagged System’s
Supervisory Control and Data Acquisition (VTS) to give intelligence to the ENS
system, notify staff of incidents, and maintain related databases.
DISCUSSION:
In 2003, the City entered in a professional services agreement with US3 to complete
the installation of the ENS system (the work was started by a different firm) and
maintenance of the related ENS software; additionally, US3 replaced sewer flow
meters that were over 10 years old, incorporated them into the SFMS, provided
maintenance of the meters, and developed data reporting capabilities to comply with
the ASSA.
Under the proposed professional services agreement, for the first time since the
inception of the SFMS and the ENS, the two technology systems would be united
under a single maintenance contract. Presently, the SFMS is not covered under a
professional services agreement and the ENS receives limited inspection and
maintenance. Each system has current needs for replacement of components,
enhancements, and regular servicing of the systems from top to bottom.
Additionally, there is some deferred maintenance that needs to be addressed for City of Culver City, California

each system, due to the absence of an all-inclusive professional services agreement
over the last eight years.
With the philosophy of unifying both systems under one qualified and responsible
professional consulting firm, staff developed a Request for Proposal (RFP) that
integrates the ENS and SFMS and defined the services needed. The RFP was
released on Monday, February 2, 2009. A mandatory pre-bid meeting was held on
Tuesday, February 10, 2009; there were nine companies represented. The bid
proposals were due on Monday, February 23, 2009. On the due date, only one
proposal was received. The bid proposal was submitted by US3.
Staff contacted the companies that attended the mandatory pre-bid meeting to
determine why they did not submit a proposal. Four companies responded and
stated several reasons for not submitting a proposal: 1) Given their present
workload, they did not have time to find qualified subcontractors to partner with
them; 2) they are too busy with other projects and did not have the time to submit a
bid; 3) They are not qualified to bid, without qualified subcontractors; 4) They are not
integrators of the necessary technologies used in Culver City; and 5) The time and
labor required from the consultant is too much and they could not support Culver
City’s needs.
Staff concluded that based on the responses and the qualifications of the attendees
at the pre-bid mandatory meeting, extending the request for proposal period would
probably not have yielded additional proposals. Further, to break up the project into
two independent smaller projects would be disadvantageous to the City, since there
are efficiencies in the larger combined project.
Revision to proposal
The proposal submitted by US3 was found to be responsive to the RFP. The cost
proposal is $3.5 million for a five year period. The cost proposal included more than
$638,000 in parts, approximately $1.4 million in professional services, and
approximately $1.5 million for other services, if necessary. The cost proposal
represented complete responsibility by the consultant over all aspects of the SFMS
and ENS systems, from the smallest of components to the largest and all the
services required on a daily basis.
Staff determined that the cost proposal was too high and decided to revise the scope
of services in order to bring costs down. Public Works Department staff from the
Environmental Programs and Operations Division, Maintenance Operations Division,
and Engineering Division strategized and restructured the scope of work to define
the essential needs of the ENS and SFMS system, including new services that have
not been part of any previous professional services agreement and are necessary. City of Culver City, California

A strategy implemented by the group to reduce the cost is 1) to remove all ENS and
SFMS parts and third party services from being the responsibility of US3; 2) to have
available only specifically identified parts that have a long-lead time for delivery; and
3) the parts that are readily available would be purchased only upon need. By this
strategy, the City avoids a capital outlay for parts that will be shelved for an
undefined period of time. For this reason, ENS and SFMS parts are not a
component of this professional services agreement and staff proposes to purchase
them directly on an as needed basis.
Staff requested revised cost proposals from US3 based on the aforementioned
changes to the proposed scope of work. US3 is proposing that the project will
require about 1,937 hours of professional services support for a not-to-exceed
amount of $277,325 during the first year of the agreement for the required tasks.
Staff is recommending that a professional services agreement be approved with
US3 for an annual not-to-exceed amount of $277,325.
FISCAL ANALYSIS:
The professional services agreement will be funded by the Sewer Enterprise Fund,
budget line item 20466100. There is sufficient funding available within this Division
to fund this request.

1.0 EXECUTIVE SUMMARY
US3 is pleased to submit this proposal to Culver City Public Works (Culver) to furnish
and deliver, complete in accordance with the solicitation, the Service and Maintenance
of the Event Notification System (ENS) and the Wastewater Flow Monitoring System
for Culver. US3 understands that the objectives of the proposed Scope of Work are:
1. Provide Motorola MOSCAD ENS support,
2. Provide Marsh-McBirney Flow monitoring support,
3. Provide comprehensive system wide engineering support,
4. Provide VT ENS Software upgrades and support,
5. Provide a comprehensive programming to both existing and future
system expansion.
6. Provide 24/7 remote and on-site hardware/software repairs.
Please note that US3 has over 65 engineers and technicians to provide Culver
comprehensive maintenance. It should be recognized that US3 has been providing
Motorola MOSCAD ENS maintenance directly through Motorola since 1991. eg. US3
is the preferred Motorola ENS system provider in Western United States.
Scope of Supply
US3 will provide both standard and emergency ENS and Sewer Flow Monitoring
System (SFMS) maintenance and support. US3 will be responsible for at least the
following:
1. Coordinate with City staff on most engineering issues related to ENS, SFMS
and related engineering services,
2. Supervise, manage, configure, operate and report on all issues related to
ENS and SFMS.
3. Troubleshoot any and all communication issues, computer and networking
issues,
4. Inspect, maintain and repair all monitoring sites,
5. Install, calibrate, and enhance any all monitoring sites.
6. Comprehensive engineering services for the wastewater group;
7. Provide data analysis of acquired data;
8. Recommendations regarding operations;
9. Integration services of ENS/SFMS and communication systems;
US3 has been providing Motorola systems and have since the 1991 and Marsh-
McBimey integration applications ranging from agricultural operations to water
waste/water control, to flood control monitoring and electric utilities.

What makes experience a benefit?
Complex ENS/SFMS systems, particularly those including multiple control
points, wide area coverage, difficult topographical problems, data mode
operation, parallel system control, paging interface, etc. are highly complex
projects. The ability to successfully develop products, engineer systems and
implement high quality systems requires years of "real world" experience. US3
has benefited by the experience of implementing hundreds of radio and IP
systems over the years. This experience translates to new and improved
generations of systems, high quality field engineering, high quality installations
and greater customer satisfaction.
US3 Provides ENS/SFMS System Advantages/Superiority
• Culver has significant RTU to RTU direct communications in addition to
SFMS to central communications paths to provide the capability for
distributed intelligence. This system results in greater data throughput, less
airtime utilization and additional reliability.
• US3 has provided Culver a modular design for ease of maintenance and
expansion.
• Multiple communications options including: wire line, IP and 800 MHz
conventional and wireless broadband.
• Standard Structured Code such that most Motorola VARs can maintain the
Culver system.
The Culver MOSCAD System has been programmed by US3 such that one can be
connected directly to the MOSCAD via a local RS 232 port. The MOSCAD may also be
programmed from almost anywhere in the entire system; via radio (or other supported
communication option) from another MOSCAD or from the Master Station. This
function is protected by software security routines, but it allows a limited number of
trained personnel to maintain a large system without having to travel to the individual
remote sites.

Total System Supplier
US3 is the only total engineering system supplier that designs, integrates and services
all major components of its ENS/SFMS systems including: remote terminal units, radio
transceivers, base stations, repeaters, and computer interface units, control stations,
etc_ In addition, US3 is the only system supplier that designs, integrates and services
all other key communications subsystems including: VT SCADA Work Station,
broadband IP network, conventional RF system, microwave systems and telephonic
interface.
Why is selecting a total system supplier important?
US3 is uniquely qualified to provide specialized Sewer Flow Monitoring engineering
required for near real-time monitoring.
Unlike other vendors, US3 does not piece together systems by utilizing multiple
subcontractors for key system components and third party "off the shelf' generic
equipment. Nor is the addition of radio communications to an ENS/SFMS system only
an "afterthought". The "off the shelf' approach used by others results in no control over
product quality, risky system upgrade compatibility, unknown availability of spare parts
and future expansion equipment, maintenance difficulties, etc. US3 with our unique
approach assures that all components are properly engineered to "fit together",
providing an optimal system of the highest quality throughout the life of the system.
Considering the size of the two systems, there has been a minimum of repairs. Typical
modifications have been due to changes in the system or system requirements.

Conclusion
Evaluating the differences between the various ENS/SFMS system providers available
today can be confusing, particularly when only minor and relatively insignificant
technical variances are focused upon. The overall cost effectiveness, reliability,
operational performance and avoidance of "planned maintenance" of a system are all
key issues which must be considered in addition to merely examining each vendors
"technical claims" of unique engineering capabilities.

2.1 INTRODUCTION
Utility Systems Science and Software. is one of the leading Sewer Flow
Monitoring System (SFMS) providers and Systems Integrators in the USA, with
an extensive background in the application of wireless Event Notification
Systems (ENS), wireless communications and Broadband data delivery to
Central Stations.
As a Motorola Products Integrator US3's engineering and construction team
are trained to develop to full scale systems utilizing the Motorola product line.
As part of the Motorola's Integrator Program, US3's engineering team will take
on full responsibility for System Requirements Specification (SRS), System
Design Specification (SDS), Detailed Engineering, Fabrication, Construction,
Start-up and comprehensive Training (formal class room).
Please note that US3 is an Authorized Motorola VAR by Motorola
and has providing Motorola ENS Systems and Maintenance since 1991
throughout the United States. All engineers assigned to Culver have
continuous Factory Motorola MOSCAD & ACE training.

2.2 COMPANY
Motorola's Communications System Integration Program was established as a
method for US3's specialist to provide technical service integrators to focus on
start up, project management and operations in the industrial business sector.
This integration program was created to focus on engineering standards,
structured methodology and up-to-date technology and where the principals
have completed well over 120 projects ranging from a few thousand to multi-
million dollars in size.
US3 is The Premier Authorized Marsh-McBirney Integrator in the USA. US3
is also the Preferred Hach Integrator in Western United States. This implies
that when Hach Marsh-McBirney implements a project, US3 provides the
engineering and systems support for their flow monitoring projects.
Systems Engineering Division Proiect Focus
Systems Engineering Division primarily focuses on systems projects that
require turnkey, single-source responsibility be assigned to a responsible
systems engineering contractor. This project approach allows clients to
control and direct projects with the minimum of direct supervision and
management, while providing ample opportunity for direct input to the
project implementation by engineering operations and maintenance
through a deliberate "team building" concept.

The US3 ENS Work Plan provides a mechanism such that Culver has full control over the
work being performed with accountability. In addition, allows both Culver the flexibility to be
responsive to their customers needs. We have the following:
US3 Matrix for Culver Response System (CRS)
Work Plan
1.Purpose or Objective
The purpose of this Work Plan is to define the maintenance responsibilities & roles of
the CRS Managers / Culver. The maintenance levels for the CRS system & sub-
systems must be set to a standard to protect the overall functionality and integrity of
the system for all users. A proper maintenance standard will also protect the warranties
of the system & sub- systems.
2.Technical Background:
Capabilities
Standards in maintenance protect the integrity of the system and protect the warranties
of the equipment. Coordinated maintenance is simplified by having one set of
maintenance standards rather than multiple standards, especially at shared sites.

Constraints
Improper maintenance poses a risk to the operational functionality of the CRS system
& sub-systems, could risk equipment warranties, and may potentially cause confusion
at sites and lost of operation.
3. Operational Context:
Each site & each piece of equipment shall be considered as "owned" by Culver. U83
will then be responsible for the maintenance of the sites & equipment that they own.
Agreements between the Culver and/or Maintenance Contractors are at Culver's
discretion, but the US3 is still ultimately responsible for the ENS/SFMS.
Maintenance of the System & subsystems is defined into four
separate categories:
Priority Level 1 - US3 shall troubleshoot the Deficiency on-site and report the diagnosis
within two (2) hours or dispatch a field engineer to arrive and troubleshoot the Deficiency at
the impacted facility within four (4) hours of receiving the request for Corrective Maintenance
services and report the diagnosis within two (2) hours subsequent to arriving, regardless of time
of day or day of week.
Priority Level 2 - US3 shall troubleshoot the Deficiency on-site and report the diagnosis
within two (2) hours or dispatch a field engineer to arrive and troubleshoot the Deficiency at
the impacted facility within four (4) hours of receiving the request for Corrective Maintenance
services and report the diagnosis within two (2) hours subsequent to arriving, during Business
Hours.
Priority Level 3 - US3 shall troubleshoot the Deficiency remotely and/or dispatch a field
engineer to arrive and troubleshoot the Deficiency at the impacted facility and report the
diagnosis within twenty-four (24) hours of receiving the request for Corrective Maintenance
services, during Business Hours.
Priority Level 4 - US3 shall troubleshoot the Deficiency remotely and/or dispatch a field
engineer to arrive and troubleshoot the Deficiency at the impacted facility and report the
diagnosis within ten (10) calendar days of receiving the request for Corrective Maintenance
services.

Recommended Procedure:
Any broad maintenance issues that affect Culver ENS/SFMS will first be identified and
discussed by Culver. In general however, US3's primary goal is no loss of data or
operation.
For day to day maintenance, US3 will maintain the equipment.
For emergency & urgent repairs as defined by Priority Levels, Culver may request and
expect support resources (i.e. US3 support staff and/or parts) from US3 to restore
equipment / system to normal operation and will include:
• Notifying the US3 of Equipment & Location issues that require attention.
• Managing the inventory of the ENS/SFMS equipment, as defined by US3/Culver.
• Managing the Equipment maintenance logs of the equipment are responsibility of US3
for as defined by their internal department logging processes.
• Service Technician posting information will be kept at the sites.
• Routine equipment maintenance logs will be kept at the Central by US3. Current
copies of all as-built documentation will be maintained at the Central and at the
offices of the US3. Culver shall be responsible for assuring the accuracy of all as-built
data related to the infrastructure equipment, and any changes or alterations that come
to the knowledge of Culver.
• US3 will be responsible for coordinating and/or overseeing configuration changes
affecting the System Infrastructure.
• All maintenance work being scheduled that may affect the System and/or Sub-
systems performance shall be preceded by reasonable notification.
• US3 shall ensure that all technicians who are assigned to work on system equipment
shall have successfully completed appropriate Factory training on the equipment they
are assigned to work on.
• U53 will maintain a list of the qualifications and contact information of their technical
staff and provide updated copies of this list to Culver, in the event of emergency
contact needs.

• US3 will maintain a list of the spare parts/equipment pertaining to their System &
Sub- system that they have available. This is to provide a reference resource for
other managers allowing them the option to request the use of this spare equipment if
an appropriate need arises.
•
The System & Subsystem equipment is closely integrated, any infrastructure
Hardware & Software upgrades or changes that may have the impact of affecting the
rest of the system will need reasonable discussion / approval by Culver.
• The Local US3 Administrator responsible for the impaired System & Sub-system will
be responsible for determining how critical an equipment failure is operationally and
will determine the appropriate action and escalate or de-escalate the repair process
as needed. For example, a single failed channel on a main repeater site would not be
a critical failure, but a backup failure would be.
• It shall be the intent to share the identified support information electronically within a
common / secure area of the system, Culver will be responsible for determining the
operational details of information sharing.
6. Management
US3 is responsible for managing the maintenance for the equipment & sites that they are
responsible for, and for managing the delegation of repair responsibilities in emergency repair
situations.
Recommended Protocol/ Standard for Emergency Work:
Local US3 System Administrators shall be responsible for:
•
Monitoring the performance of the system & subsystem equipment using the monitoring
and reporting tools that are part of the system. If issues do arise, it shall then be the US3's
responsibility to resolve the problem directly, or to bring the issue to Culver Administrator if
broader resolution is needed_
• Ensure that State and Federal Regulations are followed.
• Ensure that ISA standards are maintained with existing & future equipment.
•
Appropriate spare modules, boards, and field replaceable units for the equipment are US3
responsibility for properly inventoried and maintained equipment US3 currently has many
of the Culver system components in stock and typically on-hand.

• Immediate notification of the appropriate US3 Engineer (Mark Serres @ 714-724-4454),
when there is a preventative maintenance issue that may impact other portions of the
system.

Contracts for maintenance service & support will have to be managed and kept current by
Culver & US3.
Periodic site inspections will have to be performed to catch problems early, including:
• Power System testing & maintenance
• Antenna Inspection
• Cable Inspection
•
Equipment Inspection
Recommended Procedure:
Preventative maintenance shall be performed as outlined by Culver, containing preventative
maintenance checklists; personnel each step in the checklists shall "check, Initial, date, and
note any deficiencies", logs of the maintenance shall be reviewed & archived by the
accountable Local US3 System Administrator.
6. Management
The US3 System Administrators are responsible for managing the preventive maintenance for
the equipment & sites that they are responsible for.

Work Plan Web-Based Software
In general, we have two primary issues associated with the Culver Service Plan.
One (1) Service of the existing Marsh-McBirney SFMS and the Motorola
MOSCAD System and Two (2) Service of the VT SCADA system. Where for the
service for both system will be provided by an integrated group of technicians,
engineers and support staff equipped to providing complete software support,
sewer metering and telecommunications equipment maintenance.
Our personnel are located in Southern California. They can
respond quickly with expert solutions to your problems or issues.
US3 will have one Electrical Engineer on staff located in Culver
City.
SFMS/ENS Maintenance schedule
Culver can simply log in to schedule work as a function of Priority Levels.
U83 will maintain the entire system, including the sewer meters, RTUs, VT
SCADA software and telecommunications system using methods to optimize our
staff and keep Culver informed of the current status of the system. Thus Culver
will be given a full accounting of US3 activities. The following is the general
format:
Description: The main service order screen shows the requested work as well as
the resolution. Access is provided to secondary information including items being
serviced, technician time logs and parts & labor used. A service order may be
associated with a current maintenance contract or warranty. US3 will access the
Dispatch Board for a service order to schedule technicians for the job.

Title: Inventory
Description: A complete inventory control sub-system is available for taking a
physical inventory and entering variances. Inventory valuation is also included.
To perform a physical inventory, US3 will create a work file or current counts by
location, print the worksheets, perform the physical counting and then enter the
variances in a spreadsheet-like form. In this way, the Culver will know precisely

US3 will perform a comprehensive System Wide Reliability Assessment (SRA).
This will include a comprehensive review of SFMS/ENS system. This will start at
the Master Stations to each of the RTUs and sensors_ It should be noted that
US3 activities are governed by approved standards, codes, and procedures
accepted by IEEE & ASME in the areas of Electrical (including instrumentation)
and Mechanical Engineering. In general, US3 will perform the SRA from the
perspective compliance with ISO-9001. For the purposes of this project, US3 will
adhere to most of the ISO Quality Assurance where practical.
The purpose of the US3 SRA is to ensure Culver that the activities affecting the
quality of the system are performing as designed not only from the SFMS/ENS
perspective, but including the system wide perspective. The SRA will include the
systems engineering, specification generation, and associated RTUs. Specific
areas of the procedures that the U53 SRA Team will be examining are:
1) Design Control
2) Document Control
3) Procedures, Instructions and Drawings
4) System Control
5) Test Control
US3 will develop a comprehensive Performance Test Plan. The test plan will
include test conditions for coordinating the start and end of each test with Culver
City Public Works_ The focus of the test plan will be the following:
1. Identify parameters.
2. Determine relative measurements
3. Identify control parameters for optimization of the SFMS/ENS System.
The completed Test Plan Package will include, as a minimum, the following:
1. Results of testing activities.
2. Associated specifications and drawings, including as-built drawings (as

3. Test records which contain, as a minimum, the following:
1. A description of the testing activity.
2. Evidence of completion and verification of testing activity.

As part of the SRA, US3 will perform a Functional Test of the entire system and
could include the following (this is preliminary and will be submitted formally to
Culver for review and comment):
a. Physical inspection for conformance to drawing and appearance of
equipment;
b. Demonstration of the proper functioning of all hardware by a
thorough exercising of each device, including CPU's and distributed
processors at the Satellites (individually and collectively);
c. Demonstration of the proper functioning of the System Software;
d. Demonstration of the all functions associated with the software;
e. Simulation of the alarm and status change conditions;
f. Demonstration of all man/machine interface functions;
g.
Simulation of failure situations and failover of each component that
has a back-up unit;
h. Demonstration of the data base management software including
tests to verify addition/deletion of points and multiplexes and
modifications to various system and application data files;
i. Demonstration of the display generator/editor, log generator/editor
and maintenance functions;
j. Demonstration of on-line editing, assembling, compiling, testing
and integration;

A. Section IT, General Scope of Services, under the heading of

B. Section II, General Scope of Services, under the heading of

Consultant shall be responsible for all preventative and restorative
services, site inspections, repair, configuration and installation of any
component." Excluded from Item No_ 29 is the preventative and
restorative services of mechanical equipment in the pump stations. That
is, such items as pumps, generators, cheek valves, and other mechanical
equipment which is not a component of the ENS/SFMS.
C. Section II, General Scope of Services, under the heading of
ENHANCEMENTS; Item No. 56, page 17, reads "Consultant shall install
new equipment and all related connections, tags, alarms, etc., as per City
stairs direction" Excluded from Item No_ 56 is the purchase and
installation of mechanical equipment in the pump stations. That is, such
items as pumps, generators, check valves, and other mechanical equipment
which is not a component of the ENS/SFIVIS. However, Consultnnt shall
be responsible for incorporating such equipment into the ENS/SEMS
system through sensors, digital/analog 110, flow measuring devices, and
others, as indicated in the RFP.
2. REMOVAL FROM RF'f.
Section H, General Scope of Services, under the heading of ENHANCEMENTS,
Item No. 677 page 18, reads "Install HVAC equipment in the ENS/SR/1Y server
room to maintain appropriate temperature throughout the year. Make the
necessary modification to the existing IIVAC system, create vent access, etc., as
approved by the City Engineer upon presentation of a plan by Consultant"
Though this Addendum, Item No. 67 is hereby removed from the REP.
3. CHANGE TO RFP
Section IV, Method of Selection, Item H, page 32, reads "Consultant or parent
company shall be a VAR for Motorola with minimum of 15 years experience_"
Though this Addendum, Item H is changed to include the following underlined
text and shall read as follows: "Consultant in parent company, or subcontractor

7.0 WARRANTY
7.1 Hardware Warranty
US3 guarantees to Culver to repair, free of charge for materials and labor for
any part of the equipment supplied under the contract that becomes defective
because of faulty design, materials or workmanship. This warranty applies for
one (1) year from the date of Culver's written acceptance of the system following
the site acceptance test or eighteen months from time of shipment, whichever is
less.
7.2 Software Warranty
US3 guarantees that the software to be supplied will be free from errors. For the
purpose of this warranty, software error is understood to be a program's failure to
perform a function as designated in this Sequence of Operation and errors by
US3. If an error does occur in the software, then US3 shall at it's option and
expense:
1. Dispatch software staff to the facility to identify and correct erroneous
programs.
2. Make instructions available for modifying any erroneous programs.
3. Generate necessary Culver programs at US3's facility for dispatch to
Culver's facility.
This warranty shall apply for one (1) year after the date of Culver's written
acceptance (if applicable) of the system at Culver's facility. Acceptance not to
exceed (30) days after completion of start-up.
7.3 Design Warranty
US3 guarantees to Culver that modifications supplied will be free from hardware
(supplied by US3) and software design errors. If a design error occurs,
recognizable by the repeated failure of a single component or program, then US3
shall correct the defective unit per the hardware or software warranty described
above.
7.4 Limits of Liability
US3 will not accept liability for consequential damages.

8.0 EXCEPTIONS
US3 should be considered fully compliant to the defined Solicitation.
In addition, US3 is taking no exceptions.

CLARIFICATIONS
1) We will require the use of various Culver resources from time to time. These
requirements will be requested through the US3/Culver Project Manager.
Resource needs will consist of, but will not be limited to, information
concerning the process specific parameters, system operation, and process
requirements.
2) Travel costs have been included.
3) US3 engineering services have a one year warranty.
4) US3 will not be responsible for Acts of God or Vandalism However,
engineering services and technician services have been included per the
specification on a not-to-exceed basis.
5) Instrumentation or equipment not part of the ENS or SFMS such as a
Variable Frequency Drives (VFD), MCCs or Polysonics materials have not
been included. They are currently unknown or have not been defined.
However, engineering services and technician services to trouble-shoot the
issues have been included.
6) The Motorola MOSCAD system will not be replaced as identified in the RFP.
This is due to the fact that this system is only 5 years old and should last on
the order of 15 years.
US3 has included however radio replacement parts as part of this contract.
Further, US3 has most (if not all) replacement parts in the US3 stores. US3
will be providing two spare Motorola Kits should their be an unforeseen
emergency_ Engineering services have been identified and included Thus,
although US3 will not be replacing the system, the necessary and sufficient
precautions have been taken to meet the intent of the Bid.
US3 will require two cubicles located in Culver City Engineering.
US3 will require one parking place located at any of the pump stations or
defined area by Culver for a trailer that will house the spare parts and
associated tools to meet the intent of the Bid.Culver City Public Works

Insurance: US3 maintains a comprehensive insurance program. The following
levels of insurance are maintained:
• Workers' Compensation coverage according to Individual State
Statutory laws.
• Comprehensive General Liability coverage in the amount of
$1,000,000 including Employer's Non-ownership Contingent Liability
coverage.
US3 will furnish Certificate of Insurance upon request.
Invoicing & Payment Terms:
Payment Terms are NET thirty (30) days.
Note: U53 is offering a 5% discount on timely early payment of
submitted invoices. Invoices paid within 16 days of submission to Culver
will receive a 5% discount on the hourly billing rate for that specific
invoice. Invoices paid 17-45 days will be as invoiced. Invoices paid after
46 days will be subject to a 5% finance charge on the overall invoice.
Lump Sum Or Fixed Price Contracts: US3 will invoice all contract and change
orders based on an agreed upon percent complete of a predetermined contractCulver City Public Works

price breakdown on a monthly basis. The predetermined price breakdown
categories would include, but not be limited to: project mobilization or
initialization (35%); design; engineering; material received and stored on-site or
off-site at US3 but not yet installed; documentation, training and startup.
Retention is limited to 10% of the total contract price.
Rate Adjustment: US3 Standard Rates are revised on December 31 of each
calendar year to reflect any increase in legislated or commercial rates for
employee burdens, benefits or business general and administrative costs.
Warranty: US3 warrants equipment and materials to be free from defects in
material and workmanship (if installed by US3) for one year from installation or
completion of our work.
Limits of Liability: US3 does not assume liability for consequential damages.
US3 does not provide Bid, Payment or Performance Bonds of any type.
Holidays: The following holidays are normally observed by US3:
