RECOMMENDATION:
Staff recommends that:
1. The City Council adopt a Resolution authorizing the processing of
documentation reflecting ownership of real property by the Successor
Agency; and
2. The Successor Agency Board adopt a Resolution authorizing the processing
of documentation reflecting its ownership of non-committed properties by the
Successor Agency.
BACKGROUND:
In response to Governor Brown’s proposal to eliminate redevelopment agencies
state wide (which was subsequently signed into law on June 29, 2011), the City
Council and the former Culver City Redevelopment Agency (“Former CCRA”) Board
took various actions to transition activities of the former CCRA to the City in order to
implement the Redevelopment Plan. On January 15, 2011, the City and Former
CCRA entered into a Cooperation Agreement (as amended on February 22, 2011)
pursuant to Section 33220 of the California Community Redevelopment Law (Health City of Culver City, California
Agenda Item Report
and Safety Code Section 33000 et seq.) to create affordable housing and redevelop,
revitalize and/or eliminate blight in the Project Areas.
On March 7, 2011, the City and Former CCRA entered into a Purchase and Sale
Agreement to transfer ownership of certain real property in order to facilitate the
implementation and completion of certain redevelopment projects identified in the
Cooperation Agreement. Neither the Purchase and Sale Agreement nor the transfer
of Agency properties were challenged within the applicable statute of limitations.
On June 28, 2011, the Governor signed AB x1 26 (“AB 26”) making certain changes
to the Community Redevelopment Law (CRL). Among other actions, AB 26 deemed
the transfer of assets by a redevelopment agency to its sponsoring community (in
Culver City’s case, the City of Culver City) after January 1, 2011 as unauthorized.
Furthermore, AB 26 invalidated agreements between the redevelopment agency and
its sponsoring community. AB 26 requires all properties and buildings of the Former
CCRA be transferred to the control of the Successor Agency to the Culver City
Redevelopment Agency (the “Successor Agency”), effective February 1, 2012.
On April 20, 2012, the State Controller issued a correspondence ordering the City to
reverse any asset transfer that was executed after January 1, 2011 and return the
applicable assets to the Successor Agency.
On June 27, 2012, the Governor signed AB 1484, which made additional changes to
the CRL to clarify and/or expand certain provisions contained in AB 26. Among
other things, AB 1484 set out requirements for a Due Diligence Review to track the
transfer of assets from the Former CCRA to other agencies after January 1, 2011 as
well as track the assets transferred from the Former CCRA to the Successor Agency
on February 1, 2012 (the Former CCRA’s dissolution date).
Pursuant to the provisions of AB 1484 and based on the results of the Due Diligence
Review, the Successor Agency may be required to make a cash payment to the
County of Los Angeles for all assets transferred to the City (or any other public
agency) after January 1, 2011 that the State Department of Finance does not
consider encumbered by an Enforceable Obligation. The County of Los Angeles will
then disburse that amount to taxing entities.
DISCUSSION:
Although the City does not acknowledge the transfer of the Former CCRA’s real
property assets was not in furtherance of, and in accordance with, the CRL at the
time when the transfer was made, nor does the City acknowledge the effectiveness
of the State Legislature’s and State Controller’s invalidation of those transfers, the
City has limited financial resources and does not desire to initiate its remedies at this
time.

Additionally, AB 1484 designated the State Department of Finance (DOF) as the
lead State Agency to implement AB 1484 and gave DOF the authority to review and
approve, or deny, all decisions by successor agencies and oversight boards. Under
AB 1484, there are some limited administrative provisions for appealing DOF
decisions, but the DOF is ultimately the arbiter of their own decisions, and their
decisions are final.
Consequently, staff recommends the City and Successor Agency take action in a
manner consistent with AB 26, AB 1484, and the State Controller’s order by
rescinding the previous action taken on March 7, 2011 to transfer real property from
the Former CCRA to the City. This action will require processing quitclaim deeds (or
other appropriate instruments) reflecting ownership of the Former CCRA Properties
by the Successor Agency.
FISCAL ANALYSIS:
The carrying value (i.e. purchase price) of the real property transferred from the
Former CCRA to the City on March 7, 2011 was approximately $37,755,000, which
includes approximately $3,075,000 of real property purchased with tax exempt bond
proceeds. Rescinding the March 7, 2011 transfer will move the real property assets
from the City’s balance sheet to the Successor Agency’s balance sheet, effective
June 2012.

7 WHEREAS, the former Culver City Redevelopment Agency (the "Former
8 CCRA") was a redevelopment agency in the City of Culver City (the "City"), duly created
9 pursuant to the California Community Redevelopment Law (Part 1 (commencing with Section
10 33000) of Division 24 of the CalifOrnia Health and Safety Code) (the "CRL"); and
11
WHEREAS, the Former CCRA was responsible for the administration of
12
redevelopment activities within the City; and
13
14
WHEREAS, Section 33220 of the CRL provides that certain public bodies may
15 aid and cooperate in the planning, undertaking, construction or operation of redevelopmen
16 projects; and
17
WHEREAS, pursuant to such authority, set forth in the GRL and other
18 applicable law, on or about March 10, 2011, the City and the Former CCRA entered into tha
19
certain Agreement of Purchase and Sale and Joint Escrow Instructions, as amended by that
20
21 certain Waiver and Amendment dated March 10, 2010 (collectively, the "Purchase
22 Agreement") in order to facilitate the implementation of redevelopment projects to effectuate
23 the completion of redevelopment projects within that and future fiscal years; and
24 WHEREAS, pursuant to the Purchase Agreement and Resolution No. 2011-
25 A006, on March 7, 2011, the Former CCRA authorized and directed the transfer of certain
26
real property (the "CCRA Properties"), a list of which is attached hereto as Exhibit A and
27
28 incorporated herein by this reference, for use by the City for municipal purposes and

consistent with the Purchase Agreement for ongoing efforts to redevelop, revitalize and/or
2 eliminate blight in the Former CCRA's redevelopment project areas and/or for the purpose of
3 repayment of debt owed to the City by the Former CCRA for previously approved
4 loans/advances for operation of the Former CCRA; and
5 WHEREAS, pursuant to the Purchase Agreement and Resolution No. 2011-
6 R016, the City approved and agreed to accept the transfer of the CCRA Properties, executing
7
8 certificates of acceptance (the "Certificates of Acceptance") for the Former CCRA deeds
9 designed to transfer ownership of the CCRA Properties from the Former CCRA to the Ci
ty
le (the "CCRA Deeds"); and
11
WHEREAS, on or about March 14, 2011, the CCRA Deeds, along with the
12 Certificates of Acceptance, were recorded in the official records of the County of Los Angeles
13 as Document No. 20110388074; and
14
WHEREAS, neither the Purchase Agreement nor the purported transfer of the
15
16 CCRA Properties (or any of the related documents and actions) were challenged within the
17 applicable statute of limitations; and
18 WHEREAS, AB x1 26 ("AB 26") was signed by the Governor of California on
19 June 28, 2011, making certain changes to the CRL and adding Part 1.8 and Part 1.85 to
20 Division 24 of the California Health and Safety Code; and
21
WHEREAS, AB 26 states, in part, that Title Legislature hereby finds that a
22
23 transfer of assets by a redevelopment agency [after January 1, 20111 is deemed not to be in
24 the furtherance of the [CRL1 and is thereby unauthorized"; and
25
WHEREAS, AB 26 further states, in part, that "[c]ommencing [February 1,
26
2012],... arrangements between the city...that created the redevelopment agency and the
27 redevelopment agency are invalid..."; and

WHEREAS, AB 26 further states, in part, that lain...properties [and]
buildings...of the former redevelopment agency are transferred on [February 1, 20121, to the

WHEREAS, on or about April 20, 2012, the California State Controller issued

WHEREAS, AB 1484 ("AB 148 ,4") was signed by the Governor of California on
June 27, 2012, making changes to AB 26 and certain additional changes to the CRL; and
WHEREAS, AB 1484, at Section 34179.5(c)(2) of Part 1.85 of the California
Health and Safety Code, categorizes certain assets as those "transferred after January 1,
2011...by the redevelopment agency .to the city that formed the redevelopment agency._
("Section 34179.5(c)(2) Assets"); and
WHEREAS, AB 1484, Section 34179.5(c)(1) of Part 1.85 of the Health and
Safety Code, categorizes certain other assets as those "transferred from the former
redevelopment agency to the successor agency on or about February 1, 2012." ("Section
34179.5(c)(1) Assets"); and
WHEREAS, because (i) AB 26 states that a transfer of assets by a
redevelopment agency after January 1, 2011 was "unauthorized", (ii) AB 26 states that
commencing February 1, 2012, arrangements between a redevelopment agency and the city
that created it are "invalid" and (iii) the State Controller has purported to order that ownership
of certain assets be vested in successor agencies, the CCRA Properties are therefore not
categorized as Section 34179.5(c)(2) Assets; and

WHEREAS, because AB 26 states that all properties and buildings of the former
redevelopment agency are transferred on February 1, 2012 to the control of the successor
3 agency, the CCRA Properties are therefore categorized as Section 34179.5(c)(1) Assets; and
WHEREAS, the City does not acknowledge that the purported transfer of the
CCRA Properties by the CCRA to the City was not in furtherance of the CRL; and
WHEREAS, the Successor Agency does not acknowledge the effectiveness o
the Legislature's proposition that the purported transfer of assets was not in furtherance o
the CRL when in fact such transfers were conducted in accordance with the CRL at the time
when completed and such transfers were not challenged within the applicable statute o
limitations; and
WHEREAS, the City does not acknowledge that commencing February 1, 2012,
arrangements between the Former CCRA and the City are invalid; and
WHEREAS, the City does not acknowledge the effectiveness of the California
State Controller's order to reverse the transfer of the CCRA Properties and return the
applicable assets to the Successor Agency to the Culver City Redevelopment Agency (the
"Successor Agency"), a public entity, duly created, validly existing and in good standing uncle
the laws of the State of California; and
WHEREAS, the City has limited financial resources and desires not to pursue
its remedies at this time with regard to AB 26, AB 1484 and/or the purported order by the
California State Controller that ownership of the CCRA Properties be vested in the Success°
Agency; and
WHEREAS, in order to avoid the costs of pursuing its remedies and other costs,
the City desires to take action in a manner consistent with AB 26, AB 1484 and the California
State Controller's purported order, and in furtherance of the Successor Agency's duties under

California Health and Safety Code Sections 34179.6(h)(1) and CRL Section 34179.6(f), by
2 processing documentation reflecting ownership of the CCRA Properties by the Successor
3 Agency, without acknowledging the effectiveness of AB 26, AB 1484 and/or such order and
4 duties, and expressly disclaiming the same; and
5 WHEREAS, the City's processing of documentation reflecting ownership of the
6 CCRA Properties by the Successor Agency is not intended to waive, and shall not constitute
7
8 a waiver, by the City of any constitutional, legal or equitable rights that the City may have to
9 challenge, through administrative or judicial proceedings, the effectiveness and/or legality of
10 all or any portion of AB 26 or AB 1484, any determinations rendered or actions or omissions
11 to act by any public agency or government entity or division in the implementation of AB 26
12 and AB 1484, and any and all related legal and factual issues, and the City expressly
13 reserves any and all rights, privileges, and defenses available under law and equity; and
14
WHEREAS, this Resolution has been reviewed with respect to applicability o
15
16 the California Environmental Quality Act ("CEQA"), the State CEQA Guidelines (California
17 Code of Regulations, Title 14, Sections 15000 et seq., hereafter the "Guidelines"), and the
18 City's environmental guidelines; and
19 WHEREAS, per Section 15301 of the State CEQA Guidelines, the transfer o
20 real property is exempt from environmental review under CEQA because the transfer will
21
result in a continuation of an existing facility involving no expansion of use and is therefore
22
23 exempt from environmental review, and any future development of the real property will
24 require separate environmental review; and
25
WHEREAS, all of the prerequisites with respect to the approval of this
26 Resolution have been met.

SECTION 3_ The City hereby authorizes and directs the processing of
documentation via quitclaim deed(s) or other appropriate instrument in order to reflect and
confirm ownership of the CCRA Properties, including the execution of certificates of
acceptance therefor by the Successor Agency.
SECTION 4. The City Manager, or designee, is hereby authorized and
directed to take such actions and execute such documents as are necessary to effectuate
the intent of this Resolution on behalf of the City.
SECTION 5. This Resolution shall take effect immediately upon its adoption.
