RECOMMENDATION:
Staff recommends the City Council approve an amendment to the existing
professional services agreement with Haynes Building Service, LLC (“Haynes”)
resulting from the execution of a revised Memorandum of Understanding (the
“MOU”) with the Downtown Business Association (the “DBA”) to provide general
maintenance services in downtown Culver City.
BACKGROUND / DISCUSSION:
On June 16
th
, the City Council and the Redevelopment Agency approved an MOU
with the DBA to transfer specific maintenance responsibilities in the downtown
area to the DBA, along with the funding allocated in the adopted City and Agency
budgets for such responsibilities. Some of the services for which the DBA
assumed responsibility were currently contracted to Haynes. The transfer of these
specified responsibilities to the DBA became effective on September 1
st
, 2008, at
which time Haynes ceased performing those services. The proposed amendment
removes these services from the contracted services performed by Haynes and
reduces the contract amount accordingly.
FISCAL ANALYSIS:
The amendment to the existing agreement with Haynes has no fiscal impact to the
City, as the amount of the reduction in contractual compensation to Haynes is
precisely the amount being transferred to the DBA under the MOU authorized by
the Council. The budget and funding has already been shifted per the MOU

That the City Council:

2. Authorize the City Attorney to review/prepare the necessary documents; and,
3. Authorize the City Manager to execute such documents on behalf of the City.

CITY OF CULVER CITY
SECOND AMENDMENT TO CONTRACT
WITH: HAYNES BUILDING SERVICE, LLC
FOR: CITYWIDE JANITORIAL SERVICES
AND EVENT SERVICE WORKERS
This Second Amendment to Standard Form Contract is made and entered into by and
between the CITY OF CULVER CITY, a municipal corporation, hereinafter referred to
as "City," and HAYNES BUILDING SERVICE, LLC, hereinafter referred to as
"Contractor."
WHEREAS, on October 1, 2007, the parties entered into a contract for citywide
janitorial services and event service workers (the "Agreement"); and amended the
Agreement on May 1, 2008 (the "First Amendment"), to remove certain tasks from the
scope of services and decrease the amount of compensation (hereinafter, the
Agreement and the First Amendment are collectively referred to as the "Amended
Agreement"); and
WHEREAS, the parties desire to modify and amend the Scope of Services as
listed in Exhibit "A" and Compensation as listed in Exhibit "B" of the Agreement; and
NOW THEREFORE, in consideration of the foregoing, City and Contractor mutually
agree as follows:
1. The Scope of Services of the Agreement is hereby amended to remove those
duties related to the steam cleaning and/or power washing of Town Plaza, Main
Street, Downtown Sidewalks, Ince Parking Structure, Watseka Parking Structure,
Cardiff Parking Structure, Watseka Paseo, Cardiff Paseo, and Canfield Paseo.
2. The Schedule of Compensation Exhibit B Subsection 1 is hereby amended to
read in its entirety as follows:
1. AMOUNT OF COMPENSATION. For performing and completing all
Citywide Janitorial Services as described in Exhibit A, and for providing all
materials required therefore, City shall pay Contractor the following not to
exceed amounts for each year of this Agreement based on Contractor's
Culver City Proposal Price Forms :

For providing all Event Service Workers as described in Exhibit A, City shall pay

3. Except as expressly set forth herein, all terms and conditions of the Agreement
shall remain in full force and effect.
4. This Second Amendment shall be effective on September 1, 2008.
